Registered Installer Agreement
Electrolux Central Vacuum Systems (ECVS) is offering you the opportunity to be a local ECVS central vacuum registered installer, conditioned on your acceptance without modification, of the following terms and conditions contained in this agreement (this "Agreement" or the "Terms and Conditions"). By clicking on the "I AGREE" button below, or by acknowledging your acceptance of these Terms and Conditions by any other method allowed by ECVS, you acknowledge and agree that you have reviewed and understand these Terms and Conditions and agree to be legally bound by them. If you have any questions regarding these Terms and Conditions, you may contact ECVS at www.electroluxoxygen.net. ECVS may amend these Terms and Conditions at any time; changes or amendments will be posted at the bottom of this page for public view and be effective upon such posting. These Terms and Conditions were last updated on May 21, 2009.
Term and Termination
This Agreement shall be in effect from the date it is accepted by the registered installer until terminated as follows: this Agreement may be terminated at any time by agreement of the parties; this Agreement may be terminated by either party at any time upon the giving of thirty (30) days prior written notice to the other party; or ECVS may terminate this Agreement effective immediately for good cause.
ECVS Appointment; Registered Installer Obligations
ECVS grants to the registered installer the non-exclusive opportunity to install ECVS in-home central vacuum systems to ECVS customers that have requested a reference for a registered installer from ECVS, all in accordance with these Terms and Conditions, and any other written policies, procedures, printed services and standards issued by ECVS from time to time.
Registered installer agrees to:
Provide prompt, professional, efficient and courteous installation and other services to purchasers, owners and users of ECVS in-home central vacuum systems.
Conduct its business operations in compliance with all Federal, state, provincial, and local and any other applicable laws, rules and regulations and to refrain from unethical, false or misleading advertising, promotions and business practices.
If requested by ECVS, comply with warranty servicing policies as established by ECVS from time to time and provide customer assistance and servicing in accordance with ECVS' policies, as may be published from time to time. Registered installer shall provide service according to the terms of ECVS' printed warranty for each product.
Perform all installation and other services in accordance with these Terms and Conditions and all other written policies, procedures, printed service manuals, and standards issued by ECVS from time to time.
Permit ECVS to examine and audit its service accounts records, and take for its own use copies of registered installer's records supporting invoices for payment of warranty service.
Use only ECVS factory parts for installations, warranty repairs and any other services.
Subscribe to required service literature and attend service training meetings.
Guarantee its labor for a minimum period of sixty (60) days. ECVS reserves the right to deduct or offset any amounts paid for a repair or installation that required follow-up service or repair, either by the registered installer or another service provider, due to registered installer's breach of this guarantee.
Installation Training
Registered installers must have a minimum understanding of the central vacuum installation process and have installed systems in new or existing homes. To qualify as a registered installer of central vacuum systems, registered installers must have completed a certified instruction class or on-line certification from a 3rd party agency such as CEDIA, Beam University, or the equivalent.
Installation; Indemnification
Any and all agreements for installations or repair work will between registered installer and the consumer. ECVS will not accept any liability for faulty work performed by the registered installer. All work to be performed by registered installer will be preceded by an estimate between the customer and the registered installer. ECVS will not be liable for any estimate if the work is not performed.
All installation, warranty and service repair prices will be agreed upon between the registered installer and the customer prior to work being performed. ECVS will not be held liable for any discrepancies in said estimates or agreed prices.
ECVS will not be held responsible for faulty workmanship on the installation of or any service performed on any ECVS central vacuum system. Registered installer shall indemnify and save ECVS harmless from any claim, including but not limited to claims for bodily injury and/or property damages, which may arise out of the registered installer's performance or failure to perform under this Agreement.
Minimum Criteria; Documentation
In order to provide each consumer with an excellent experience with the registered installer they choose, ECVS requires that each registered installer meet or exceed the following criteria and maintain proper documentation. At any time ECVS may ask for verification of this documentation.
1. Trade License*
Each registered installer must carry the appropriate state- and/or local-level business license.
2. Insurance*
Each registered installer must maintain general liability insurance.
3. State Business Filings*
For business types that require a Secretary of State filing, each registered installer shall be in good standing in the state in which it is organized.
4. Criminal Records Search*
Each registered installer guarantees no criminal activity associated with the owner/principal or any employees of the business.
5. Sex Offender Search*
Neither the principal/owner or any employee of the registered installer is listed on any state, county or other local level Sex Offender web site in the state in which the registered installer or any such individual is located.
6. Bankruptcy Search*
Neither the registered installer nor the principal/owner of the registered installer has had a history of bankruptcy filings by or against them.
7. Legal Search for Judgments*
Neither the registered installer nor the principal/owner of the registered installer has had any legal judgments entered against them.
8. Lien Search*
Neither the registered installer nor the principal/owner of the registered installer has had any material liens placed against them.
9. Identity Verification (SSN)*
The principal/owner of the registered installer shall provide the social security number(s) of the owner/principal for identity check purposes. This check applies primarily to smaller business entities.
10. Identity Verification (Reverse Phone Lookup)*
The principal/owner of the registered installer agrees that its business phone numbers are current.
Complaint Resolution
Should the need to resolve any workmanship problems arise, the registered installer shall contact the customer within 24 hours after the registered installer's receipt of notice from the customer or ECVS to start the resolution process. The work performed to resolve the issue shall be completed within five business days from the date of notice to the registered installer. Although ECVS has no such obligation, ECVS may provide limited assistance in resolving disputes between a registered installer and a customer. The registered installer must participate and use good faith efforts to resolve problems. If, in its sole discretion, ECVS determines that a registered installer has not participated and cooperated in good faith in the resolution process, ECVS may terminate such resolution process. If resolution can not be satisfied in the five day time frame, the registered installer will provide written explanation as to the failure to comply.
Not an Agent
The registered installer is an independent contractor for all purposes hereunder and shall not be considered an employee or agent of ECVS – or as holding any other relationship with ECVS.
Miscellaneous
This document contains the entire Agreement between the parties and any representation, promise or condition not incorporated herein shall not be binding upon either party. The failure of either party hereto at any time to require performance by the other party of any provision hereof or the waiver by either party hereto of a breach of any provision or any provision of this Agreement shall in no way affect the right to require such a performance at any time thereafter. If any provision of this Agreement is prohibited by or under the laws of any jurisdiction, said provision shall be ineffective and void to the extent of such prohibition and severed without invalidating any of the remaining provisions of this Agreement. This Agreement is personal as to registered installer and neither it nor any right granted hereunder shall be assignable by registered installer by its own act or by operation of law without the prior written consent of ECVS, and any such attempted assignment shall be null and void and of no effect whatsoever. These Terms and Conditions are governed by the laws of the State of Iowa as such laws are applied to agreements entered into and to be performed entirely in the State of Iowa and between Iowa residents. You agree to submit to exclusive jurisdiction in Iowa and that any claim arising out of or related to these Terms and Conditions will be brought solely in a state or federal court in Iowa.
